Article 1 — Definitions
In these terms of service, the following definitions apply:
- Bilenti: the online ticketing platform, accessible via bilenti.com, operated by the company whose identity is set out in Article 2.
- Organiser: the natural person or legal entity that creates an account via the Platform in order to create events and sell tickets.
- Ticket Buyer: the natural person or legal entity that purchases a ticket via the Platform for an event organised by or on behalf of an Organiser.
- Platform: the online system developed and operated by Bilenti for creating events and for the purchase, sale, processing and settlement of tickets, including the ticket widget, the dashboard and the scanner app.
- Ticket: the electronic proof of admission (with QR code) for an event, issued via the Platform.
- Service Fee: the per-ticket fee payable by the Ticket Buyer to Bilenti on top of the ticket price set by the Organiser.
- Agreement: any agreement between Bilenti and an Organiser or Ticket Buyer to which these terms apply.

Article 3 — Applicability
- These terms of service apply to any use of the Platform and to every Agreement between Bilenti and an Organiser or Ticket Buyer.
- Part A applies specifically to Organisers, Part B specifically to Ticket Buyers. The remaining articles apply to both.
- The applicability of any general terms and conditions of the Organiser is expressly rejected.
- Deviations from these terms are valid only if agreed in writing.
- If one or more provisions of these terms are wholly or partly void or are annulled, the remaining provisions shall remain in full force and effect. In that event, the parties shall enter into consultation to agree on replacement provisions that approximate the purpose and intent of the original provision as closely as possible.
Article 4 — Role of Bilenti
- Bilenti solely provides the technical platform through which Organisers can sell tickets. Bilenti is not itself an organiser of events and is not a party to the agreement between the Organiser and the Ticket Buyer.
- The purchase agreement for a ticket is concluded between the Organiser and the Ticket Buyer. The Organiser is responsible for the event, its content, its execution, any cancellation or rescheduling, and any refunds.
- Vis-à-vis the Ticket Buyer, Bilenti is responsible solely for the technical delivery of the ticket and the correct processing of the payment via the payment service provider.
PART A — Provisions for Organisers
Article 5 — Account and use
- To create events, the Organiser requires an account. The Organiser warrants the accuracy and completeness of the information provided upon registration and thereafter.
- The account is personal or company-specific and non-transferable. The Organiser shall keep login credentials confidential and is responsible for all use of its account.
- Bilenti may refuse, suspend or terminate an account in the event of (suspected) misuse, fraud, violation of laws or regulations, or breach of these terms.
- The Organiser guarantees that the events it offers via the Platform do not violate any laws or regulations and that it holds all required permits and consents.
Article 6 — Fees and payments
- Use of the Platform is free of charge for the Organiser: there are no monthly fees or setup fees. For each ticket sold, Bilenti charges the Ticket Buyer a Service Fee on top of the ticket price set by the Organiser.
- Payments by Ticket Buyers are processed via the payment service provider Mollie B.V. ("Mollie"). By entering into the Agreement, the Organiser authorises Bilenti to receive (or arrange the receipt of) payments from Ticket Buyers via the payment service provider.
- Payout of the ticket proceeds (excluding Service Fees) to the Organiser shall be made to the bank account number specified by the Organiser, in accordance with the payout schedule stated in the dashboard.
- The Organiser guarantees that it is the (authorised) account holder of the specified bank account.
- The Organiser is itself responsible for remitting VAT on the sale of its tickets.
- Bilenti is entitled to suspend payouts in the event of a reasonable suspicion of fraud, misuse, chargebacks or non-compliance with these terms, or where the payment service provider so requires.
Article 7 — Cancellation, rescheduling and refunds
- In the event of the cancellation or rescheduling of an event, the Organiser is responsible for informing Ticket Buyers in a timely manner and for refunding the ticket price.
- At the Organiser's request, Bilenti may facilitate the technical processing of refunds. Service Fees already charged are not eligible for refund by Bilenti, unless mandatory law provides otherwise.
- The Organiser indemnifies Bilenti against all claims by Ticket Buyers relating to the event (including its cancellation, rescheduling or execution).
Article 8 — Intellectual property and content
- All intellectual property rights in the Platform are vested in Bilenti. The Organiser obtains only a non-exclusive, non-transferable right of use for the duration of the Agreement.
- The Organiser warrants that content it uploads (including images and texts) does not infringe the rights of third parties and indemnifies Bilenti against any claims in that regard.
- Bilenti may use the Organiser's name and logo for the performance of the Agreement (for example, in the ticket shop). For any other promotional use, Bilenti will request prior consent.
Article 9 — Availability and maintenance
- Bilenti shall use its best efforts to achieve the highest possible availability of the Platform, but does not guarantee uninterrupted availability.
- Bilenti may take the Platform (temporarily) out of service for maintenance, modifications or improvements. Where possible, scheduled maintenance will be carried out outside peak hours and announced in advance.
PART B — Provisions for Ticket Buyers
Article 10 — Purchase and delivery of tickets
- The Ticket Buyer purchases a ticket from the Organiser; Bilenti solely facilitates the sale and delivery.
- The total price consists of the ticket price set by the Organiser plus Bilenti's Service Fee. The total price including VAT is clearly displayed before the order is completed.
- After successful payment, the Ticket Buyer receives the ticket by email at the email address provided. The Ticket Buyer is responsible for providing a correct email address.
- The ticket carries a unique QR code and is valid only once. The Ticket Buyer must protect the ticket against copying and misuse. Where the same QR code is presented more than once, the first scan prevails.
- If the ticket has not been received, the Ticket Buyer may contact [email protected].
Article 11 — Right of withdrawal
- The statutory right of withdrawal for distance contracts does not apply to the purchase of tickets for events taking place on a specific date or during a specific period (Article 6:230p(e) of the Dutch Civil Code (Burgerlijk Wetboek), implementing Directive 2011/83/EU). Every purchase is therefore final.
- This is without prejudice to any refund arrangements offered by the Organiser in the event of the cancellation or rescheduling of the event.
Article 12 — Cancellation or rescheduling of the event
- In the event of the cancellation or rescheduling of an event, the Organiser is solely responsible for refunding the ticket price and for any further communication.
- Claims relating to the cancellation, rescheduling, content or quality of the event must be addressed by the Ticket Buyer to the Organiser. Bilenti may mediate in this regard, but is not obliged to do so.
- Service Fees are not refunded by Bilenti in the event of cancellation, unless mandatory law provides otherwise.
Article 13 — Admission to the event
- The Organiser may impose additional (house) rules for admission to the event, such as age limits or identification requirements. The Ticket Buyer must inform themselves of such rules.
- In case of reasonable doubt as to the authenticity of a ticket, or upon suspicion of fraud, admission may be refused without any right to a refund.
General provisions (Organisers and Ticket Buyers)
Article 14 — Liability
- Bilenti is not liable for damage arising from an event (including its organisation, cancellation, rescheduling or execution); the Organiser alone is responsible for this.
- Bilenti is not liable for indirect damage, consequential damage, loss of profit, missed savings or damage due to business interruption.
- Bilenti is not liable for damage arising because it relied on inaccurate or incomplete information provided by the Organiser or the Ticket Buyer.
- Any liability of Bilenti is limited to direct damage and to a maximum of the amount of Service Fees received by Bilenti in connection with the transaction concerned, or — in the case of Organisers — to a maximum of the total Service Fees received by Bilenti in respect of the Organiser's events in the three months preceding the event giving rise to the damage.
- The limitations in this article do not apply to the extent that the damage results from intent or deliberate recklessness on the part of Bilenti, or to the extent that mandatory law precludes such limitation.
- Rights of action against Bilenti lapse one year after they arise, unless mandatory law provides otherwise.
Article 15 — Force majeure
- Bilenti is not obliged to perform any obligation if it is prevented from doing so by force majeure, which includes: failures of the internet or telecommunications infrastructure, failures at the payment service provider or hosting provider, (D)DoS attacks, power failures, government measures, and failures by third parties engaged by Bilenti.
- If the force majeure situation continues for more than three months, either party is entitled to terminate the Agreement in writing, without the parties owing each other anything except settlement of performance already rendered.
Article 16 — Privacy and data protection
- Bilenti processes personal data in accordance with the GDPR (Regulation (EU) 2016/679). See the privacy policy at bilenti.com for more information.
- For the processing of Ticket Buyers' personal data on behalf of the Organiser, Bilenti and the Organiser enter into a data processing agreement, which forms part of the Agreement with the Organiser.
Article 17 — Amendment of these terms
- Bilenti may unilaterally amend these terms. Amendments also apply to Agreements already concluded. Bilenti will notify Organisers of material amendments by email at least 30 days before they take effect.
- If the Organiser does not agree to a material amendment, it may terminate the Agreement with effect from the date on which the amendment takes effect.
Article 18 — Complaints
- Complaints about the Platform or Bilenti's services may be submitted via [email protected], accompanied by a clear description.
- Bilenti will respond within 14 days of receipt. If a complaint foreseeably requires more time, the complainant will receive an acknowledgement of receipt within that period, indicating when a substantive response can be expected.
Article 19 — Transparency regarding artificial intelligence (AI)
- Where Bilenti offers features within the Platform that use artificial intelligence, Bilenti will clearly disclose this in accordance with Regulation (EU) 2024/1689 (AI Act); where required by law, AI-generated content will be labelled as such.
- Bilenti does not use the personal data of Ticket Buyers or Organisers to train AI models. See the privacy policy and the data processing agreement.
- An Organiser who uses AI in content or communications via the Platform (such as AI-generated images or texts) is solely responsible for complying with its own obligations under the AI Act, including transparency and marking obligations.
Article 20 — Data export and switching
- The Organiser may at any time export its event, order and attendee data via the dashboard in a structured, commonly used and machine-readable format.
- In accordance with Regulation (EU) 2023/2854 (Data Act), Bilenti will cooperate free of charge and without undue delay with the Organiser's switch to another service provider or to the Organiser's own infrastructure, and will not impose any commercial, technical or contractual obstacles.
- The Organiser may terminate the Agreement subject to a notice period not exceeding two months. Following termination, the data will remain available for export for at least 30 days, after which the data processing agreement (return and deletion) applies.
Article 21 — Governing law and disputes
- Every Agreement is governed exclusively by Dutch law.
- The parties shall first endeavour to resolve disputes by mutual consultation.
- Disputes that cannot be resolved by mutual consultation shall be submitted to the competent court of the district in which Bilenti has its registered office, unless mandatory law prescribes otherwise. Consumers may, within one month after Bilenti invokes this clause, opt for the court that has jurisdiction by operation of law.
